1. Agreement to Terms

Welcome to Pype AI ("Pype," "we," "us," or "our"). These Terms of Service ("Terms") govern your access to and use of our healthcare voice AI services, website, and related services (collectively, the "Services").

By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use our Services.

2. Services Description

Pype provides AI-powered voice agents that automate patient communications for healthcare organizations. Our Services include:

• Automated appointment reminders and confirmations
• Patient follow-up calls
• Administrative task automation
• Integration with healthcare management systems
• Analytics and reporting dashboards

3. Eligibility

You must be at least 18 years old and have the legal authority to enter into these Terms on behalf of yourself or the organization you represent. By using our Services, you represent and warrant that you meet these requirements.

4. Account Registration

To access certain features of our Services, you may need to create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Maintain the security of your account credentials
• Notify us immediately of any unauthorized use of your account
• Accept responsibility for all activities that occur under your account

5. HIPAA and Healthcare Compliance

For healthcare organizations, Pype acts as a Business Associate under the Health Insurance Portability and Accountability Act (HIPAA). We will enter into a Business Associate Agreement (BAA) with covered entities as required by law.

You agree to:

• Use our Services in compliance with HIPAA and other applicable healthcare regulations
• Obtain necessary patient consents for automated communications
• Ensure your use of the Services complies with state and federal laws
• Not use the Services for any unlawful purpose

6. Acceptable Use

You agree not to:

• Use the Services for any illegal or unauthorized purpose
• Violate any laws, regulations, or third-party rights
• Transmit any viruses, malware, or malicious code
• Attempt to gain unauthorized access to our systems or networks
• Interfere with or disrupt the Services or servers
• Use the Services to send spam or unsolicited communications
• Reverse engineer, decompile, or disassemble any aspect of the Services
• Remove or modify any proprietary notices or labels
• Use the Services in any way that could harm Pype or its reputation

7. Intellectual Property

The Services, including all content, features, and functionality, are owned by Pype and are protected by copyright, trademark, and other intellectual property laws.

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for their intended purpose. This license does not include any right to:

• Resell or make commercial use of the Services
• Collect or use product listings or descriptions
• Make derivative use of the Services
• Download or copy account information for the benefit of another party

8. User Data and Content

You retain all rights to the data you submit to our Services ("User Data"). By using our Services, you grant us a license to use, process, and store User Data solely to provide and improve our Services.

You represent and warrant that:

• You have the necessary rights to submit User Data
• User Data does not violate any laws or third-party rights
• You have obtained all necessary consents for processing User Data

9. Payment Terms

If you purchase a paid subscription to our Services, you agree to pay all fees according to the pricing and payment terms presented to you.

• Fees are non-refundable except as required by law or as explicitly stated
• We may change our fees with 30 days' advance notice
• You are responsible for all applicable taxes
• Failure to pay may result in suspension or termination of Services

10. Service Level and Availability

While we strive to provide reliable Services, we do not guarantee that the Services will be uninterrupted, error-free, or completely secure. We reserve the right to:

• Modify or discontinue Services at any time
• Perform scheduled and emergency maintenance
• Impose usage limits or restrictions

11. Third-Party Services

Our Services may integrate with or contain links to third-party services, websites, or applications. We are not responsible for the content, privacy practices, or terms of service of any third-party services.

12. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

PYPE DOES NOT WARRANT THAT:

• The Services will meet your specific requirements
• The Services will be uninterrupted, timely, secure, or error-free
• The results obtained from using the Services will be accurate or reliable
• Any errors in the Services will be corrected

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PYPE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

14. Indemnification

You agree to indemnify, defend, and hold harmless Pype, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to:

• Your use of the Services
• Your violation of these Terms
• Your violation of any rights of another party
• Your User Data

15. Termination

We may suspend or terminate your access to the Services at any time, with or without cause, with or without notice. Upon termination:

• Your right to use the Services will immediately cease
• We may delete your account and User Data (subject to legal obligations)
• You remain liable for all charges incurred prior to termination

You may terminate your account at any time by contacting us. Provisions that should survive termination (including disclaimers, limitations of liability, and indemnification) will remain in effect.

16. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions.

Any disputes arising from these Terms or the Services shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except that either party may seek injunctive relief in court to prevent infringement of intellectual property rights.

17. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website and updating the "Last updated" date. Your continued use of the Services after changes constitutes acceptance of the updated Terms.

18. General Provisions

Entire Agreement

These Terms constitute the entire agreement between you and Pype regarding the Services.

Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full effect.

Waiver

No waiver of any provision of these Terms shall be deemed a further or continuing waiver of such provision or any other provision.

Assignment

You may not assign these Terms without our prior written consent. We may assign these Terms without restriction.
